By-Laws

GREENFIELD VILLAGE TENNIS CLUB
BYLAWS
Revised February 14, 2010

These bylaws shall serve to guide the conduct of the affairs of the Greenfield Village Tennis Club.

ARTICLE 1         RIGHTS AND OBLIGATONS OF MEMBERS

Section 1 - Members in good standing shall have the right to vote at all meetings of the club.

Section 2 - Membership is not transferable and voting by proxy is not permissible in any meeting.  Annual membership is for a period of one year from November 1st to October 31 of the following year.

ARTICLE 1         DUES AND FEES

Section 1 - The annual membership fee of the club will be an amount recommended by the Executive Committee and approved by a majority vote of the members present at the annual (February) meeting. The membership fee is due and payable to the club treasurer at the November meeting. Any members arriving after the November meeting must pay their dues before playing in League matches or any organized events. There is no provision for pro-ration of dues. Delinquent members may be reinstated upon payment of their dues.

Section 2 - Fees for the participation in tournaments, clinics and other club activities shall be determined and collected by the committee in charge of the event.

ARTICLE III       ANNUAL MEETING

Section 1 - The annual meeting of the club shall be held during February of each year, at the time and place determined by the Executive Committee. At least 10 days written notice to the membership shall be required and an agenda displayed.

Section 2 - The following shall be voted upon at the annual meeting.

  1. Election of club officers by written ballot, or if all officer positions are unopposed, then by an acclamation vote of the membership.
  2. Dues and assessments.
  3. Any other matters that may properly be brought before the membership.

ARTICLE IV       OTHER MEETINGS

Other meetings of the membership or of the Executive Committee may be held upon the call of the president, or upon a petition with agenda signed by 15 members and submitted to the secretary. In the latter instance, such meetings must not be held sooner than 10 days nor later than 30 days from the date the petition is submitted to the secretary.

ARTICLE V         QUORUMS

The quorum for all meetings of the membership shall be 35 members or 20% of the total club membership, whichever is greater.

Motions, except as otherwise specified in the Constitution or Bylaws, shall be considered enacted upon the affirmative vote by a majority of the members present at a membership meeting. A majority shall constitute the quorum for all meetings of the Executive Committee.  Motions shall be considered enacted upon a majority vote of the members present at a meeting of the Executive Committee.

ARTICLE VI       CONDUCT OF MEETING

All meetings shall be conducted in accordance with “Roberts Rules of Order”, except as may be provided in the constitution or bylaws.

ARTICLE VII      FUNDS

The funds of the club shall be kept in the general fund of Greenfield Village RV Resort.

ARTICLE VIII    DUTIES OF OFFICERS

Section 1 - All officers should be in residence at Greenfield Village RV Resort from November 1st to March 31st.

Section 2 - The President shall preside at all meetings of the membership and the Executive Committee. The President shall enforce the provisions of the constitution and bylaws, decide all questions of order, sign all official documents for the club, submit proposed annual budgets for facilities and equipment to the Tennis Club Executive Committee, appoint committees, and perform other duties customarily pertaining to the office of the president.

Section 3 - The Vice-President shall generally assist the President, perform the duties of the President in the president’s absence, and coordinate the activities of the committees.

Section 4 - The Secretary shall keep the minutes for meetings of the club, the Executive Committee, and the Captains; notify the Greenfield Village Activity Director of the names of the new officers; keep a roll of the members; conduct correspondence; issue meeting notices to members; and maintain the club’s historical records.
                             
Section 5 - The Treasurer shall collect the dues, receive and receipt all moneys paid to the club, notify delinquent members that their memberships are terminated, make authorized expenditures on behalf of the club, maintain records in accordance with normal accounting procedures and, upon request by the president, report on the club finances.

Section 6 - All officers at the expiration of their terms of office, upon request of the president, shall render written reports of their official acts while in office, and shall deliver to their duly elected successors all books, moneys and other club properties.

ARTICLE IX       COMMITTEES

Section 1 - The President may appoint any committee as the president deems advisable for the benefit of the club.

Section 2 - A tournament committee shall plan an annual schedule of tournaments. The committee shall organize and supervise tournaments, purchase and award trophies. The committee shall hold the annual (in park) Club Championship Tournament in the February/March period of each year.  Non-owners participating in the annual tournament must have contracted to reside at Greenfield Village for at least 28 days.

Section 3 - The President shall each year appoint a nominating committee of 5 club members, exclusive of officers, which shall present their recommended slate of candidates at the January monthly meeting.  The committee recommendations shall not preclude nominations from the membership during the annual meeting at which officers are elected.

Section 4 - In the event that a member does not carry out his or her obligations to the club, disciplinary action may be taken by the club. The President shall appoint a grievance committee.  Any complaint must be made in written form and presented to a member of this grievance committee after the incident occurs. The President shall notify the member(s) concerned of their violation.

Section 5 - The grievance committee will handle all information obtained during the investigation in a confidential manner. Upon completion of the investigation, the committee will report its findings and recommendations for disciplinary action to the President for appropriate action.

ARTICLE X         MISCELLANEOUS

Section 1 - All club-sanctioned tennis play shall be in accordance with the rules of the USTA including attire worn by the players.

Section 2 - East Valley Senior Tennis League

  1. All paid-up members are eligible.
  2. The League Coordinator shall be responsible for selecting team captains.
  3. Participants must be 50 years or older

Section 3 - Court reservations are required in order to avoid conflicts in court use.

ARTICLE XI       AMENDMENTS

The membership may amend these bylaws, only at the annual meeting in February, by a majority vote of those members present, provided that the membership has been notified of the details of each proposed amendment at least 28 days in advance.

ARTICLES OF CONSTITUTION

We, the undersigned, affirm that the members have duly enacted this revised constitution as the governing instrument of the Greenfield Village Tennis Club.

ARTICLE 1         NAME

The name of this organization shall be the Greenfield Village Tennis Club (“the club”).

ARTICLE II         PURPOSES

The purposes of the club shall be to create an interest in tennis, to promote the game of tennis, and to assist members in increasing their proficiency in this sport.

ARTICLE III       MEMBERS

All residents of Greenfield Village RV Park may become members of the club once their dues are paid. Annual membership is for a period of one year from November 1st to October 31st of the following year.

ARTICLE IV       OFFICERS

Section 1 - Officers shall be elected from the membership of the club and shall consist of a President, Vice-President, Secretary and Treasurer. On completion of the president’s term of office the President shall automatically become a member of the Executive Committee until replaced by the next past-president.

Section 2 - Each officer shall be elected for a term of one year, or until a successor has been elected. Term of office shall be from April 1st to March 31st.

Section 3 - An officer may be removed from office by a three-fourths vote of the members present at a meeting called for that purpose, provided that the membership is notified at least ten days prior to the special meeting.

Section 4 - If  between elections the President should become unable or unwilling to serve, the Vice President shall succeed to the office of President. A vacancy of any other officer, occurring between elections, must be filled by appointment of the President within 30 days; otherwise, the Executive Board must fill the vacancy within the next 15 days.

ARTICLE V         EXECUTIVE COMMITTEE

The Executive Committee shall consist of the four duly elected officers, and the immediate past president. The Executive Committee shall have the power and authority to transact any of the club’s business, within the framework of the Constitution and Bylaws. The Executive Committee shall have the power and authority to arbitrate disputes and make decisions on matters not specifically covered in the Constitution and Bylaws.

ARTICLE VI       BYLAWS

Members may adopt and amend bylaws for the conduct of the club’s business as provided in the bylaws.

ARTICLE VII      DUES

Dues and assessments as deemed necessary for the business of the club shall be set by the terms of the bylaws.

ARTICLE VIII    FINANCIAL ASSETS

Club funds may be expended upon the signature of any two of the club’s duly elected officers, provided that individual expenditures in excess of $500 shall require prior approval by a majority vote of the members present at a meeting of the members.

ARTICLE IX       AMENDMENTS

This constitution may be amended by a two-thirds vote of the members present at the annual meeting in February, provided that the membership is notified of the proposed amendments at least twenty eight (28) days prior to such a meeting.
